Intel® Atom™ Developer Program Site Registration and Access Agreement

  • THIS IS A LEGAL AGREEMENT BETWEEN YOU AND INTEL SETTING FORTH THE TERMS THAT APPLY TO YOUR ACCESS TO THE INTEL® ATOM™ DEVELOPER PROGRAM DEVELOPER SITE.
  • PLEASE READ THIS REGISTRATION AGREEMENT ("AGREEMENT") BEFORE CHECKING THE BOX AT THE BOTTOM OF THIS PAGE INDICATING THAT YOU HAVE READ AND ACCEPT THE TERMS AND CONDITIONS CONTAINED IN THIS AGREEMENT AND PRESSING THE "GET AN ID" BUTTON.
  • BY PRESSING "GET AN ID", YOU ARE AGREEING TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, PRESS "CANCEL" AND YOU WILL NOT BE PROVIDED ACCESS TO THE INTEL® ATOM™ DEVELOPER PROGRAM DEVELOPER SITE.
  • IN ADDITION TO THIS AGREEMENT, THE FOLLOWING TERMS SHALL ALSO APPLY TO YOUR PARTICIPATION ON THE SITE:

1. Definitions. The following definitions apply to this Agreement:

  • "Component" means a reusable module that can be incorporated into other applications in the form of libraries, modules, etc. that may be submitted by other developers, designed for use on an Intel® Atom™ processor based computing system.
  • "Intel" means Intel Corporation.
  • "Materials" means the content and materials provided or otherwise available on the Site, including but not limited to software development kits, Components, code samples, download areas, communication forums, blogs, documentation, videos, articles and contests, and such other content or services that Intel may make available to you in conjunction with the Site.
  • "Registered Developer" means a developer who accepted the Intel® Atom™ Developer Program Developer Site Agreement.
  • "Site" means the Intel® Atom™ Developer Program Developer site.
  • "Store" means the Intel® Atom™ Developer Program Store (and successor platforms) and other storefronts that Intel may offer in collaboration with various third parties, including OEM device manufacturers, through which Components and applications are offered and distributed to end user purchasers.
  • "Store Operator" means Intel and/or a third party selected by Intel to operate the Store.
  • "you" (or "your") means the person or legal entity entering into this Agreement. If this Agreement is entered into on behalf of a corporation, organization or other legal entity, then "you" refers to that corporation, organization or other legal entity, and you represent that you have the authority to bind such entity to these terms and conditions of the Agreement.

2. Use of Site

(a) Access. Access to the Site and the Materials is conditioned on the continuing existence of, and compliance with, this Agreement. Intel may change, suspend or discontinue providing the Materials or Site to you at any time, and may impose limits on certain features and materials offered or restrict your access to parts or all of the Materials without notice or liability. Notwithstanding any other provision of this Agreement, your access to the Site and status as a Registered Intel® Atom™ Developer Program Developer is subject to Intel's ongoing acceptance and approval.

(b) Your contributions. As a Registered Intel® Atom™ Developer Program Developer, you may participate in various activities on the Site. Any contributions you make to the Site shall be governed by the Terms of Use of the Site and the following:

  • Intel does not claim ownership of any personal information you provide during the registration process. Intel will use of your personal information only to perform this Agreement and in accordance with the Intel Privacy Policy.
  • Intel does not claim ownership of your contributions to the Site in form of sample code, content, videos, articles or any other contribution you submit to the Site. Any application or Component you wish to distribute through the Store shall be subject to the Intel® Atom™ Developer Program Developer Component and Application Submission and Distribution Agreement.
  • By submitting any contribution, you grant Intel a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, unconditional, fully paid-up license under all your intellectual property rights: (1) to make, have made, use, copy, reproduce, modify, and create derivative works of the contributions, (2) to publicly perform or display, import, broadcast, transmit, distribute (directly and indirectly through multiple tiers), license, offer to sell and sell, rent, lease, or lend copies of the contributions (and derivative works thereof), (3) to sublicense to third parties the foregoing rights, including the right to sublicense to further third parties, and (4) to publish your name or alias in connection with this Site and your contributions.
  • Your contributions to the Site will be available to Intel and other Registered Developers and to ensure they are safe and freely usable by other Registered Developers, you warrant that:
    1. you own or otherwise have all rights necessary for you to provide the contributions and grant the rights described above and you do not disclose any information which would constitute a violation of a confidentiality obligation;
    2. your contributions do not contain any viruses, worms, spyware, or other components or instructions that are malicious, deceptive, or designed to limit or harm the functionality of a computer; and
    3. your contributions are not subject to license terms that require any software or documentation incorporating or being derived from your contributions to be licensed to others.

3. Password Responsibility: The Site requires you to establish a member account and account password. You must speak, read and understand English to register on the Site, and you acknowledge you are proficient in English by accepting this Agreement. In such cases, you are entirely responsible for maintaining the confidentiality of your password and account. Furthermore, you are entirely responsible for any and all activities that occur under your account. You agree to notify Intel immediately of any unauthorized use of your account or any other breach of security here. Intel will not be liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge. However, you could be held liable for losses incurred by Intel or another party due to someone else using your account or password. You may not use anyone else's account at any time, without the permission of the account holder.

4. Use of the Site and Materials; Restrictions. The purpose of the Site and the Materials are to promote the development of applications and services to be offered through the Store and the use of the Site and Materials by you is limited to this purpose and as specifically provided under this Agreement. ALL MATERIALS, INCLUDING COMPONENTS, ARE PROVIDED FOR EVALUATION PURPOSES ONLY. NO LICENSE UNDER ANY INTELLECTUAL PROPERTY RIGHT OF INTEL OR ANY THIRD PARTY IS PROVIDED PURSUANT TO THIS AGREEMENT. TO THE EXTENT YOU DESIRE TO USE ANY OF THE MATERIALS OR COMPONENTS, SUCH USAGE IS SUBJECT TO, AND CONDITIONED ON, YOUR FURTHER AGREEMENT TO THE INTEL® ATOM™ DEVELOPER PROGRAM COMPONENT AND APPLICATION SUBMISSION AND DISTRIBUTION AGREEMENT, AND ANY ADDITIONAL AGREEMENTS, INLCUDING END USER LICENSE AGREEMENTS ("EULAS"), THAT MAY APPLY TO INDIVIDUAL COMPONENTS. Specifically, you may not:

  • Decompile, reverse engineer, disassemble, attempt to derive the source code of any security components or any software components of the Materials
  • Modify, publish, transmit, participate in the transfer or sale of, reproduce, create derivative works based on, redistribute, perform, display, or in any way exploit any of the Materials, unless such uses are expressly allowed under a separate license agreement; or
  • Use of the Site, Content or Services to violate, tamper with, or circumvent the security of any computer network, software, passwords, encryption codes, technological protection measures, or to otherwise engage in any kind of illegal activity, or to enable others to do so

    In each case, only to the extent allowed by applicable law.

5. Ownership. You acknowledge and agree that Intel owns all legal rights, title and interest in and to the Materials (except for Components, which may be owned by Intel or others) and the Site, including any Intel trade names, trademarks, service marks, logos, domain names, and other distinctive brand features therein (whether those rights happen to be registered or not, and wherever in the world those rights may exist), and that they are protected by worldwide copyright and trademark laws and treaty provisions. They may not be copied, reproduced, modified, published, uploaded, posted, transmitted, or distributed in any way without Intel's prior written permission, unless such uses are expressly allowed under a separate license agreement. Except as expressly provided herein, Intel does not grant any express or implied right to you under any patents, copyrights, trademarks, or trade secret information.

6. Feedback. For the purpose of this provision, "Feedback" means your requirements, input, comments, responses, opinions, feedback and errata, concerning the definition, design or validation of the Site or the Materials. To the extent that you provide Feedback to Intel and Intel incorporates such Feedback in the Materials, the Site, or any Intel product, you hereby grant to Intel and Intel accepts, a worldwide, non-exclusive, perpetual, irrevocable, royalty-free license, with the right to sublicense, under your intellectual property rights to the Feedback to incorporate or otherwise utilize Feedback as provided by you to Intel in the design of the Materials, the Site, and Intel products and to make derivative works, design, debug, display, perform, copy, make, have made, use, sell, distribute (directly and indirectly through multiple tiers), license, and otherwise dispose of and support Intel's and its sublicensees' products and documentation embodying such Feedback in any manner and via any media Intel chooses, without reference to the source.

7. Confidentiality. The Materials and the Site include confidential information of Intel and other Registered Developers. You may not reveal, disclose or distribute the Materials or information contained on the Site in any form, or display it publicly without Intel's prior written consent or distribute any product thereof, or use it or any information relating to it except for the purposes of this Agreement. If you represent a legal entity and this Agreement extends and applies to the entire legal entity, you may disclose the Materials or information contained on the Site only to your employees whose duties require such access and who are obligated to maintain the Materials or information contained on the Site in confidence. This obligation of confidentiality shall not apply to information which is shown by contemporaneous documentation to be (i) rightfully available to the public other than by breach of this Agreement by you; (ii) rightfully received by you from a third party without breach of a duty to Intel; (iii) independently developed by your employees without access to the Materials or information contained on the Site; or (iv) rightfully known by you prior to first receipt from Intel. Notwithstanding the foregoing, syndication of anything Intel makes available in an RSS feed is expressly allowed, and you agree that any information you submit in the blogs or forums on the Site can similarly be syndicated.

8. Changes.

  • Changes to Site: Intel reserves the right to modify or discontinue, temporarily or permanently, the Site or Materials (or any part thereof) with or without notice. Intel may make changes to the Site or Materials, or to the products described therein, at any time without notice. Intel makes no commitment to update the Site or Materials.
  • Amendment of this Agreement: Intel reserves the right, at its discretion, to modify this Agreement, including any rules and policies at any time. You are responsible for reviewing and becoming familiar with any such modifications (including new terms, updates, revisions, supplements, modifications, and additional rules, policies, terms and conditions)("Additional Terms") communicated to you by Intel. All Additional Terms are hereby incorporated by this reference into this Agreement and your continued use of the Materials and the Site will indicate your acceptance of any Additional Terms.

9. Third Party Content: The Site and Materials may contain user or third party submitted content; such content is not reviewed, approved or endorsed by Intel and is provided solely as a convenience to you. Under no circumstances will Intel be liable in any way for any third party submitted or provided content, including, but not limited to, any errors or omissions, or damages of any kind. By your use you agree that you must evaluate, and bear all risks associated with, the use of any third party content, including any reliance on the accuracy, completeness, or usefulness of such content. All postings and use of the Site or Material are subject to this Agreement, the current Terms of Use and any other program and site specific terms.

10. Term and Termination. Intel may terminate or suspend you as a Registered Developer at any time in Intel's sole discretion. You may terminate your participation as a Registered Developer at any time, for any reason, by notifying Intel by email at appdeveloper.support@intel.com of your desire to terminate. Upon any termination or, at Intel's discretion, suspension, all rights and licenses granted to you by Intel will cease, including your right to access the Site, and you agree to destroy any and all Intel confidential information that is in your possession or control. Following termination of this Agreement Sections 1, 2(b), 4-7, and 9-19 shall continue to bind the parties.

11. Intel Independent Development. Nothing in this Agreement will impair Intel's right to develop, acquire, license, market, promote or distribute products, software or technologies that perform the same or similar functions as, or otherwise compete with, any other products, software or technologies that you may develop, produce, market, or distribute. In the absence of a separate written agreement to the contrary, Intel will be free to use any information, suggestions or recommendations you provide to Intel pursuant to this Agreement for any purpose, subject to any applicable patents or copyrights.

12. Acknowledgements:

  • Relationship: You understand and agree that by becoming a Registered Developer, no legal partnership or agency relationship is created between you and Intel. You agree not to represent otherwise.
  • Ability to Contract: You also certify that you are of the legal age of majority in the jurisdiction in which you reside and at least 18 years of age, and you represent that you are legally permitted to become a Registered Developer. You may not use the Site if you are under age 13. For individuals aged 13 until age 18, use of the Site is only allowed with parental or legal guardian consent. Additionally, use by individuals aged 13 until age 18 is only allowed via the parent or legal guardian's registration account. In such circumstance, the parent or legal guardian registrant of the Site (and party to this Agreement) shall be responsible for the use by the person aged 13 until age 18. Upon reaching age 18 and the legal age of majority in the jurisdiction in which the person resides, the individual may obtain their own registration account.
  • Not Transferable: You cannot transfer this Agreement or any benefits you may receive from Intel in connection with being a Registered Developer. The Intel ID and password you use to login as a Registered Developer cannot be shared in any way or with any one. You are responsible for maintaining the confidentiality of your Intel ID and password and for any activity in connection with your account.
  • Communications: Intel may contact you from time to time by telephone and/or email with information regarding Intel® Atom™ Developer Program, marketing materials, technical information, and updates and/or changes regarding your participation as a Registered Developer. By agreeing to this Agreement, you consent that Intel may provide you with such communications. You may opt out of these communications pursuant to the process outlined in the Privacy Policy.
  • Contests and Other Promotions: This Agreement shall apply to any contests or other promotions as may be offered by Intel via the Site or otherwise related to the Program Store.
  • Black Belt Program: By becoming a Registered Agate Rock Developer, you are automatically enrolled in the Intel Black Belt Software Developer Program. The current terms and conditions of the Intel Black Belt Software Developer Program are located at: http://appdeveloper.intel.com/en-us/article/intel-black-belt-software-developer-terms-and-conditions. You may opt-out of such program by notifying Intel by e-mail at appdeveloper.support@intel.com. You acknowledge that Intel is not able to administer the Intel® Atom™ Developer Program if you opt-out of the Intel Black Belt Software Developer Program. Therefore, Intel has to delete your registration if you wish to opt-out.

13. Exclusions of Warranty: The Materials and the Site are provided by Intel as a service to you and is for informational purposes only. Intel does not warrant the accuracy or completeness of the information, text, graphics, links or other items contained within the Site or Materials.

YOU EXPRESSLY UNDERSTAND AND AGREE THAT:

  • YOUR USE OF THE SITES AND MATERIALS IS AT YOUR SOLE RISK AND THAT THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY EXPRESS OR IMPLIED WARRANTY OF ANY KIND INCLUDING WARRANTIES OF MERCHANTABILITY, NONINFRINGEMENT OF INTELLECTUAL PROPERTY, OR FITNESS FOR ANY PARTICULAR PURPOSE.
  • ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICES IS DONE AT YOUR OWN DISCRETION AND RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR OTHER DEVICE OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.
  • IN NO EVENT SHALL INTEL OR ITS SUPPLIERS BE LIABLE FOR (1) ANY DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, ANY SPECIAL, DIRECT, INDIRECT OR CONSEQUENTIAL DAMAGES, DAMAGES FOR LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF INFORMATION, OR ANY DAMAGES WHATSOEVER RESULTING FROM LOSS OF USE, DATA OR PROFITS, WHETHER IN CONTRACT, NEGLIGENCE OR OTHER TORTIOUS ACTION, ARISING OUT OF OR IN CONNECTION WITH THE USE, INABILITY TO USE, OR PERFORMANCE OF THE SITE, THE MATERIALS, ANY SOFTWARE, DOCUMENTS, OR OTHER INFORMATION, EVEN IF INTEL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BECAUSE SOME JURISDICTIONS PROHIBIT THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU.
  • Intel is not responsible for contributions not received due to lost, failed, delayed or interrupted connections or miscommunications, or other electronic malfunctions. Intel is not responsible for incorrect or inaccurate registration information, whether caused by you or any other persons or by any of the equipment or programming associated with or utilized on the Site.

14. Indemnification. You agree to indemnify and hold Intel and its officers, agents, employees, partners and licensors harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of content you submit, post, transmit or otherwise make available through the Site or Materials, your use of the Site or Materials, your connection to the Site or Materials, your violation of this Agreement or site specific Terms of Use, or your violation of any rights of another.

15. Other Terms and Conditions. Information submitted to Intel through forms on the Sites or Materials is governed according to Intel's Privacy Policy. Your access and use of the Site is also subject to current version of the Terms of Service as posted on the Site.

16. Export Control. You agree to comply with all applicable U.S. and other worldwide government and regulatory export laws and regulations. In particular, but without limitation, You agree to (i) comply with the US export and re-export controls governing transfers of software, technology, services and technical data; (ii) exclude from Intel® Atom™ Developer Program Developer site participation and access to individuals, countries, and nationals of countries that are subject to US or other governmental trade sanctions or identified on then current US or other government export exclusion lists, including but not limited to the Denied Persons, Entity and Specially Designated Nationals Lists; and (iii) guard against direct and indirect use of their respective Materials for military, nuclear, missile, chemical and biological weaponry end uses and to require the end users to likewise comply with this prohibition. By becoming a Registered Developer or using any of the Materials, you represent and warrant that you are not located in any such countries or on any such lists. You also agree that you will not use any Intel Confidential Information for any purposes prohibited by United States or other country laws, including, without limitation, the development, design, manufacture or production of military, nuclear, missile, chemical and biological weaponry end uses.

17. Government End Users. The Materials are provided with "RESTRICTED RIGHTS". Use, duplication or disclosure by the Government is subject to restrictions set forth in FAR52.227-14 and DFAR252.227-7013 et seq. or its successor. Use of the Materials by the Government constitutes acknowledgment of Intel's rights in them.

18. Governing Law. Any claim arising under or relating to this Agreement shall be governed by the internal substantive laws of the State of Delaware or federal courts located in Delaware, without regard to principles of conflict of laws.

19. Miscellaneous. No delay or failure to take action under this Agreement will constitute a waiver unless expressly waived in writing, signed by a duly authorized representative of Intel, and no single waiver will constitute a continuing or subsequent waiver. This Agreement will bind your successors but may not be assigned, in whole or part, by you without the written approval of an authorized representative of Intel. Any non-conforming assignment shall be null and void. If any provision is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and enforceable. This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior or contemporaneous understandings regarding such subject matter. No addition to or removal or modification of any of the provisions of this Agreement will be binding upon Intel unless made in writing and signed by an authorized representative of Intel. This Agreement is void where prohibited by law and the right to become a Registered Developer is not granted in such jurisdictions.
